These Client Services Terms & Conditions apply to quotations, proposals, work orders and services provided by Savannah Solutions Pty Ltd, trading as Savannah Solutions.
01.Scope
These Terms and Conditions apply to all quotations, proposals, work orders and services provided by Savannah Solutions Pty Ltd, trading as Savannah Solutions (“Savannah Solutions”, “we”, “us”), unless we have agreed different terms with you in writing.
Where a signed agreement, panel arrangement or purchase contract exists between us and a client, that agreement prevails to the extent of any inconsistency with these Terms. Everything else in these Terms continues to apply.
By accepting a quotation or instructing us to proceed, you accept these Terms.
02.Quotations
Quotations are valid for 30 days from the date of issue unless the quotation states otherwise. Pricing is based on the scope, site information and conditions described in the quotation.
You can accept a quotation in writing, by issuing a purchase order, or by instructing us to proceed. Acceptance in any of these forms brings these Terms into effect.
If the scope changes after acceptance, including additional sites, expanded capture areas, different deliverables or altered site conditions, we will discuss the change with you and confirm any price or timing adjustment before proceeding. Additional work outside the quoted scope is treated as a variation under Section 9.
Quotations assume the information you provide about the site and the task is accurate. If conditions on the ground differ materially from what was described, we will raise it with you before continuing.
03.Client Responsibilities
Successful delivery depends on certain matters being in place before and during the engagement. Unless otherwise agreed, the client is responsible for:
- Providing safe and lawful access to the site, including any keys, escorts, inductions or access arrangements required.
- Obtaining permissions from landholders, occupiers or asset owners for us to enter and operate, where those permissions are yours to obtain.
- Obtaining any third-party approvals that apply to your project, including approvals from asset owners, tenants or regulators connected to your side of the work.
- Arranging utility locating or dial-before-you-dig checks where ground works, marking or physical access to services is involved.
- Providing accurate information about the site, the task, known hazards and anything else that could affect the safety or legality of the operation.
- Maintaining a safe work environment at the site to the extent it is within your control, and telling us promptly about any change in site conditions.
If access, permissions or site conditions prevent us from completing the work as planned, we will work with you to reschedule. Costs reasonably incurred because of access or information problems outside our control may be charged, and will be discussed with the client before being invoiced.
04.Aviation and Operational Conditions
Savannah Solutions operates under a CASA Remotely Piloted Aircraft Operator’s Certificate, ReOC 9708. Compliance with the Civil Aviation Safety Regulations and the conditions of our certificate takes precedence over all commercial considerations, including program deadlines.
RPAS operations depend on conditions that are not always within the control of either party. These include:
- CASA requirements and the conditions of our operating certificate.
- Airspace approvals and coordination, including operations near aerodromes and in controlled or restricted airspace.
- Weather, including wind, rain, visibility and temperature limits for safe operation.
- Temporary flight restrictions and NOTAMs.
- Emergency services activity in the area, which always takes priority.
- Aircraft and equipment serviceability.
Our Chief Remote Pilot and remote pilots hold final authority over whether an operation proceeds. We may delay, suspend or reschedule an operation at any time where it is required for safety or legal compliance. A delay or rescheduling on these grounds is not a breach of these Terms, and we will keep you informed and rebook the work at the earliest practical opportunity.
05.Privacy and Data
We handle personal information in accordance with our Privacy Policy, which is published on our website and explains what we collect, why, how it is protected, and the standards we apply during drone operations. These Terms should be read together with the Privacy Policy; its provisions are not repeated here.
06.Client Data and Imagery
Imagery and data are collected only for the agreed project. We do not conduct capture beyond the scope of the engagement, and we handle client information confidentially.
We will not publish your imagery or use it in marketing, case studies or demonstrations without your permission.
Deliverables are provided electronically unless we agree otherwise, typically as secure file transfer or shared access to reports, imagery and data products. Physical media or printed deliverables can be arranged where required and may attract additional cost.
07.Artificial Intelligence
We may use AI-assisted software to help process, organise or analyse imagery and field data, and to assist in preparing reports. These tools improve speed and consistency. They support our work; they do not replace it.
All significant findings are reviewed by a suitably qualified person before being relied on in reports or recommendations, and responsibility for our deliverables rests with us.
08.Payment
Invoices are issued on completion of the work or at the milestones set out in the quotation. Payment is due within 14 days of the invoice date unless the quotation states otherwise.
Prices are exclusive of GST unless stated. GST is added to invoices where it applies.
If an invoice is overdue, we will contact the client before taking any further step. If an account remains unpaid after reasonable follow-up, we may suspend further work until the account is brought up to date, and we may recover reasonable debt recovery costs where they are legally recoverable.
09.Variations
Work outside the agreed scope may attract additional charges. If a variation becomes necessary, whether requested by you or arising from conditions discovered during the work, we will consult with you, explain the impact on cost and timing, and confirm the variation before proceeding wherever practical.
Where safety or site circumstances require an immediate decision, we will make the safe call and inform you as soon as possible afterwards.
10.Cancellation and Rescheduling
Weather and aviation restrictions. If weather, CASA requirements, airspace restrictions or other aviation conditions prevent safe or lawful operation, we will reschedule to the earliest practical date. No cancellation charge applies to a rescheduling on these grounds.
Client cancellations. If you cancel or postpone booked work, we ask for as much notice as possible. Where cancellation occurs at short notice and we have already incurred costs, such as mobilisation, travel, approvals or subcontracted services, we may charge those reasonably incurred costs. Any such charges will be discussed with the client before invoicing.
Unforeseen events. If circumstances beyond either party’s reasonable control prevent the work from proceeding, neither party is liable to the other for the delay. We will reschedule promptly and adjust arrangements fairly.
11.Intellectual Property
Unless we agree otherwise in writing:
- You own the final deliverables produced for your engagement, including the reports, imagery, maps, models and data products we were contracted to provide, once the invoice for that work has been paid.
- Savannah Solutions retains ownership of its operating systems, methodologies, templates, software, workflows, analytical techniques, intellectual property and know-how used to produce the deliverables.
- Pre-existing intellectual property always remains the property of the party that brought it to the engagement.
Where our methods or templates are embedded in a deliverable, the client has the right to use the deliverable for its intended purpose; ownership of the underlying methods remains with Savannah Solutions. This is standard practice for professional services and supports continual improvement of the systems used across all engagements.
12.Limitation of Liability
Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy under the Australian Consumer Law or any other law that cannot be excluded by agreement.
To the extent the law permits, our liability for a failure in the services is limited, at our election, to resupplying the services or paying the cost of having the services resupplied. To the extent the law permits, neither party is liable to the other for indirect or consequential loss, including loss of profit or business opportunity.
Our deliverables reflect the conditions observable at the time of capture, using the methods and equipment described in the engagement. They are professional field intelligence products intended to inform your decisions; where a deliverable feeds into engineering, legal, insurance or safety-critical decisions, it should be assessed by a suitably qualified professional in that discipline.
We will advise clients on the appropriate uses and limitations of our data and deliverables.
13.Insurance
Savannah Solutions maintains appropriate business insurance relevant to its operations, including insurance appropriate to RPAS operations. Certificates of currency are available to clients on request.
14.Complaints
If you are dissatisfied with any aspect of our services, please contact us first at info@savannahsolutions.com.au. We will acknowledge the issue promptly, investigate it properly, and work with you to resolve it professionally. Issues raised early are almost always resolved quickly.
15.Governing Law
These Terms are governed by the laws of Western Australia, and the parties submit to the jurisdiction of the courts of Western Australia.
